1. Maplecourt Consulting Limited (MCL) will accept orders by telephone, facsimile, email or letter.
2. Any order will be subject to exchange of letter together with agreement of terms.
3. Should MCL expend abortive time/expenses due to customer request the associated cost will be
charged to the clients account. A formal notification with costs will be issued by MCL at the
time to avoid future disputes.
4. Payment for services shall be by credit card, cheque with guarantee
card or via a formal credit agreement.
5. MCL reserve the right to commission specialist sub contractors under this agreement if they
deem necessary.
6. MCL reserves the right to immediately terminate this agreement if the
customer commits any act of bankruptcy, goes into liquidation, appoints a receiver, suffers any
execution or distress to be levied on its property, commits any breach of these conditions or
delays the agreed program of works.
7. MCL will not allow the withholding of any retention against any invoices.
8. Payment against invoices raised by MCL will be on demand any
allowance for delay which would be limited to 30 days shall be by written agreement only.
9. Overdue accounts will be liable to added interest at 1.5% monthly.
10. This agreement shall be governed by English Law and shall be
construed in all respects as an English Contract.
11. This agreement shall continue until either party gives notice to the other to terminate.
A period of notice will be 1 month or a severance payment from the customer if the customer has terminated.
12. All documents remain copyright of MCL until full payments for all
due invoices have been settled.
13. MCL will use its best endeavours to deliver documents to the agreed
time scale but will not be liable for any delays incurred due to factors beyond its control.
14. MCL will check all documents prior to issue to the customer using its
in house quality assurance procedures however the ultimate
responsibility for checking shall be with the customer. MCL will not be
liable for any errors or omissions in any documents it issues.
